TÉRMINOS Y CONDICIONES GENERALES DE CONTRATACIÓN

1. IDENTIFICACIÓN DEL TITULAR

En cumplimiento de la normativa española vigente, se informa que el presente sitio web y los servicios ofrecidos bajo la marca comercial The Visual Corner son titularidad de:

2. OBJETO

Los presentes términos regulan la contratación de los siguientes servicios:

  • Creación de identidad de marca
  • Diseño gráfico
  • Diseño y desarrollo web
  • Consultorías estratégicas
  • Formaciones presenciales y online
  • Servicios digitales complementarios

La contratación implica la aceptación expresa de estas condiciones.

3. SOLICITUD Y VALIDEZ DE PRESUPUESTOS

  • Todos los presupuestos tienen una validez de 10 días naturales.
  • Transcurrido dicho plazo podrán ser modificados.
  • La reserva de fechas requiere el abono del 60% del importe total.
  • Proyectos inferiores a 1.000 € deberán abonarse íntegramente por adelantado.

El cliente deberá facilitar todo el material necesario antes de la fecha de inicio acordada.

4. CONDICIONES ECONÓMICAS GENERALES

4.1 Pagos

  • 60% al aceptar el presupuesto.
  • 40% restante antes de la entrega final.
  • No se entregarán archivos finales sin pago completo del proyecto contratado.

4.2 Cancelación por parte del cliente

Si el cliente cancela el proyecto una vez iniciado:

  • Deberá abonar el importe correspondiente al trabajo ya ejecutado.
  • En caso de diseño web iniciado, se deberá abonar el 100% del presupuesto.
  • El anticipo del 60% no es reembolsable, salvo causa de fuerza mayor debidamente acreditada.

4.3 Proyectos paralizados

  • Proyectos detenidos más de 30 días por falta de respuesta se considerarán abandonados.
  • Retomar el proyecto podrá implicar recargos.
  • Paralizaciones superiores a 30 días por falta de material podrán conllevar un recargo del 25% del total del coste del proyecto contratado.

5. DIFERENCIACIÓN ENTRE CLIENTES B2B Y B2C

A) Condiciones específicas para clientes empresas (B2B)

Estas condiciones aplican a empresas, autónomos y universidades.

1. Naturaleza contractual

La relación tendrá carácter mercantil.

2. Limitación de responsabilidad

The Visual Corner ni Mercy Guzmán no serán responsables de:

  • Resultados económicos o comerciales derivados del uso del diseño.
  • Pérdida de beneficios.
  • Daños indirectos.
  • Errores en materiales proporcionados por el cliente.
  • Problemas técnicos derivados de servidores externos no contratados a través del estudio.

La responsabilidad máxima quedará limitada al importe abonado por el servicio contratado.

3. Garantía sobre materiales

El cliente garantiza que dispone de todos los derechos sobre los contenidos facilitados (imágenes, textos, marcas, tipografías, etc.), exonerando al estudio y a Mercy Guzmán de cualquier reclamación de terceros.

B) Condiciones específicas para consumidores (B2C)

Aplicables a personas físicas que contraten para uso personal.

1. Derecho de desistimiento

Cuando la contratación se realice online, el consumidor dispone de 14 días naturales para desistir del contrato.

No obstante, el derecho de desistimiento quedará excluido si:

  • El servicio ha comenzado con consentimiento expreso.
  • Se trata de contenido digital cuya ejecución haya comenzado.

En caso de desistimiento iniciado el servicio, el consumidor deberá abonar la parte proporcional ya ejecutada.

6. SERVICIOS DE DISEÑO WEB Y SERVIDORES

  • No se garantiza el funcionamiento de servidores contratados por el cliente con terceros.
  • Problemas técnicos externos no serán responsabilidad del estudio.
  • Intervenciones técnicas adicionales se facturarán a 85 €/hora + IVA.
  • Migraciones web serán presupuestadas aparte.

Si el cliente accede al sitio antes de finalizar el proyecto, se compromete a no modificar la estructura, diseño y/o contenido sin autorización escrita del estudio.

7. SERVICIOS ADICIONALES

Trabajos no incluidos en el presupuesto inicial serán presupuestados aparte.

Servicios adicionales superiores a 1.000 € se abonarán:

  • 60% al inicio
  • 40% antes de entrega

Servicios adicionales con inversión inferior a 1.000 € se abonarán 100% de su valor antes de ejecutar.

8. SISTEMA DE TRABAJO Y COMUNICACIÓN

Las comunicaciones oficiales se realizarán por correo electrónico o Google Meet.

WhatsApp se utilizará únicamente en horario laboral y para comunicaciones puntuales.

El cliente deberá:

  • Entregar material en plazo.
  • Responder en un máximo de 3 días hábiles.

Retrasos en feedback podrán afectar plazos y generar costes adicionales.

9. PROPIEDAD INTELECTUAL

9.1 Titularidad

Mercy Guzmán es titular originaria de los derechos de autor sobre las obras creadas.

9.2 Cesión de derechos

Una vez abonado el 100% del proyecto, se ceden al cliente los derechos de explotación necesarios para el uso comercial de la obra, en el territorio y plazo legalmente permitido.

No se incluyen:

  • Derechos de reventa.
  • Cesión a terceros sin autorización.
  • Transformaciones sustanciales sin consentimiento escrito.

9.3 Firma del estudio

Los proyectos podrán incluir firma del estudio.

La retirada de firma implicará un recargo del 20% del presupuesto total (mínimo 200 €).

10. CONFIDENCIALIDAD

Ambas partes se comprometen a mantener confidencial la información estratégica o sensible intercambiada durante la ejecución del proyecto.

11. PROTECCIÓN DE DATOS

Los datos personales serán tratados conforme a la normativa vigente en materia de protección de datos.

La finalidad será:

  • Gestión contractual
  • Facturación
  • Comunicación profesional

El cliente podrá ejercer sus derechos de acceso, rectificación, supresión y demás derechos reconocidos legalmente.

12. FUERZA MAYOR

Ninguna de las partes será responsable por incumplimientos derivados de causas de fuerza mayor, tales como:

  • Enfermedad grave
  • Catástrofes naturales
  • Fallos generalizados de servicios digitales
  • Situaciones fuera de control razonable

13. MODIFICACIÓN DE CONDICIONES

The Visual Corner se reserva el derecho a modificar las presentes condiciones en cualquier momento.

Las condiciones aplicables serán las vigentes en el momento de la contratación.

14. LEY APLICABLE Y JURISDICCIÓN

El presente contrato se rige por la legislación española.

  • En contratos B2B: las partes se someten a los Juzgados y Tribunales del domicilio profesional del estudio y/o Mercy Guzmán.
  • En contratos con consumidores: será competente el juzgado del domicilio del estudio y/o Mercy Guzmán.

GENERAL TERMS AND CONDITIONS OF SERVICE

1. IDENTIFICATION OF THE OWNER

In compliance with current Spanish regulations, the following information is provided regarding the website and services offered under the trade name The Visual Corner:

2. SCOPE OF SERVICES

These terms govern the contracting of the following services:

  • Brand identity creation
  • Graphic design
  • Web design and development
  • Strategic consultancy
  • In-person and online training
  • Complementary digital services

Engaging our services implies explicit acceptance of these terms.

3. QUOTES AND VALIDITY

  • All quotes are valid for 10 calendar days.
  • After this period, quotes may be subject to change.
  • Booking a start date requires payment of 60% of the total project fee.
  • Projects under 1,000 € must be paid in full in advance.

The client must provide all necessary materials before the agreed start date.

4. GENERAL PAYMENT CONDITIONS

4.1 Payments

  • 60% upon acceptance of the quote.
  • Remaining 40% before final delivery.
  • Final files will not be delivered until full payment has been received.

4.2 Cancellation by the client

If the client cancels the project once it has begun:

  • Payment will be due for work already completed.
  • If web design has started, 100% of the project fee is due.
  • The 60% deposit is non-refundable, except in cases of duly evidenced force majeure.

4.3 Stalled projects

  • Projects stalled for more than 30 days due to lack of client response will be considered abandoned.
  • Restarting the project may incur additional charges.
  • Delays exceeding 30 days due to missing materials may result in a surcharge of 25% of the total project fee.

5. B2B AND B2C CLIENT CONDITIONS

A) Specific conditions for business clients (B2B)

These conditions apply to companies, freelancers, and universities.

1. Nature of the relationship

The relationship shall be of a commercial nature.

2. Limitation of liability

The Visual Corner and Mercy Guzmán shall not be liable for:

  • Economic or commercial results derived from the use of the design.
  • Loss of profits.
  • Indirect damages.
  • Errors in materials provided by the client.
  • Technical issues arising from external servers not contracted through the studio.

Maximum liability shall be limited to the amount paid for the contracted service.

3. Warranty on materials

The client warrants that they hold all rights to the content provided (images, texts, trademarks, typefaces, etc.), and releases the studio and Mercy Guzmán from any third-party claims.

B) Specific conditions for consumers (B2C)

Applicable to individuals contracting for personal use.

1. Right of withdrawal

When the contract is made online, the consumer has 14 calendar days to withdraw.

However, the right of withdrawal shall not apply if:

  • The service has commenced with the consumer’s express consent.
  • The digital content has begun execution.

If the consumer withdraws after the service has commenced, they must pay for the proportion already completed.

6. WEB DESIGN AND SERVER SERVICES

  • The studio does not guarantee the functioning of servers contracted by the client with third parties.
  • External technical issues are not the studio’s responsibility.
  • Additional technical interventions will be billed at 85 €/hour + VAT.
  • Website migrations will be quoted separately.

If the client accesses the site before the project is complete, they agree not to modify the structure, design, or content without written authorisation from the studio.

7. ADDITIONAL SERVICES

Work not included in the original quote will be quoted separately.

Additional services over 1,000 € will be invoiced as follows:

  • 60% at the start
  • 40% before delivery

Additional services under 1,000 € must be paid 100% in advance before execution.

8. WORKING METHOD AND COMMUNICATION

Official communications will take place via email or Google Meet.

WhatsApp will be used only during working hours and for brief communications.

The client must:

  • Deliver materials on time.
  • Respond within a maximum of 3 business days.

Delays in feedback may affect timelines and generate additional costs.

9. INTELLECTUAL PROPERTY

9.1 Ownership

Mercy Guzmán is the original holder of the copyright over all created works.

9.2 Transfer of rights

Once 100% of the project fee has been paid, the client is granted the exploitation rights necessary for commercial use of the work, within the legally permitted territory and time frame.

Not included:

  • Resale rights.
  • Transfer to third parties without authorisation.
  • Substantial transformations without written consent.

9.3 Studio signature

Projects may include the studio’s signature or credit.

Removal of the studio credit will incur a surcharge of 20% of the total project fee (minimum 200 €).

10. CONFIDENTIALITY

Both parties agree to keep confidential any strategic or sensitive information exchanged during the execution of the project.

11. DATA PROTECTION

Personal data will be processed in accordance with applicable data protection regulations.

The purpose of processing will be:

  • Contract management
  • Invoicing
  • Professional communication

The client may exercise their rights of access, rectification, deletion, and other legally recognised rights.

12. FORCE MAJEURE

Neither party shall be liable for breaches arising from force majeure events, such as:

  • Serious illness
  • Natural disasters
  • Widespread digital service failures
  • Situations beyond reasonable control

13. MODIFICATION OF TERMS

The Visual Corner reserves the right to modify these terms at any time.

The applicable terms will be those in force at the time of contracting.

14. GOVERNING LAW AND JURISDICTION

This contract is governed by Spanish law.

  • For B2B contracts: the parties submit to the Courts and Tribunals of the studio’s and/or Mercy Guzmán’s professional domicile.
  • For consumer contracts: jurisdiction lies with the court of the studio’s and/or Mercy Guzmán’s domicile.
